By accessing this site, reading these Terms, or using the Nexus channel over WhatsApp, you agree to the content below. If you disagree, do not use the service. For the WhatsApp channel, acceptance is reinforced by an explicit opt-in registered individually for each user.
02Who we are
Nexus Dealer Tecnologia Ltda., a Brazilian limited liability company, Tax ID (CNPJ) 66.406.963/0001-06, headquartered at Av. Paulista 171, 4th floor, Bela Vista, São Paulo/SP, 01.311-904, Brazil. We operate B2B technology services for corporate clients in Brazil.
03What the service is
Nexus contracts with corporate clients to operate technology services. Delivery to end users authorized by the client occurs, among other channels, over WhatsApp, always subject to an explicit opt-in.
04Who can use it
- The institutional site is publicly accessible.
- The WhatsApp channel is restricted to users authorized by Nexus clients, identified by the client and having executed an explicit opt-in.
- Access to the management platform, where present, is restricted to users named by the client and to Nexus contractors.
05WhatsApp channel: rules of use
The Nexus WhatsApp channel runs on top of Meta's WhatsApp Business Cloud API, in line with Meta's policies. The following apply:
- Mandatory opt-in: no user receives a proactive message from Nexus without having explicitly and specifically agreed to receive communications via this channel.
- Free opt-out: the user may end receipt at any time, free of charge, by sending any of the tokens SAIR, PARAR, STOP, EXIT, UNSUBSCRIBE, SALIR, BAJA, STOPP, or ABMELDEN in the chat. We stop sending automatically.
- Content: messages are operational, tied to the contractual relationship between Nexus and the client. We do not send third-party advertising over this channel.
- Confidentiality: the content of individual messages is not shared with the client that authorized the access. Reports to the client are aggregated and anonymized.
06Automated content is not a decision
Nexus may deliver guidance or automatically generated content through the channel. Such content consists of informational inputs and does not replace human judgment. Responsibility for any decisions taken based on content delivered through the channel lies exclusively with the client and its staff. Pursuant to Article 20 of the LGPD, the data subject may request a review of decisions made solely on the basis of automated processing through the channels indicated in the Privacy Policy.
07Intellectual property
Nexus
The platform, the technology, source code, brands, design, and the content of this site are exclusive property of Nexus Dealer Tecnologia Ltda., protected by Brazilian law (Federal Laws 9,279/1996, 9,610/1998, and 9,609/1998).
Client
Operational data of the client remains the property of the client. Nexus processes such data exclusively to operate the contracted service, under the specific MSA.
Generated content
Content generated by Nexus and delivered through the channel belongs to Nexus, with an operational use license granted to the client under the commercial agreement.
08Acceptable use
The following are not allowed:
- Reverse engineering, decompilation, or attempts to extract proprietary platform logic.
- Automated scrapers against the channel or the site.
- Sharing credentials with unauthorized third parties.
- Forwarding channel content for external commercial purposes without authorization.
- Any use that violates Meta policy or could degrade the quality rating of the Nexus number.
09Service availability
We aim for continuous availability without guaranteeing zero downtime. Scheduled maintenance windows and force majeure events may affect the channel. In the event of an incident that compromises the service, Nexus notifies the client through the channels set forth in the commercial agreement.
10Limitation of liability
To the extent permitted by applicable law, Nexus's liability is limited to the amount paid by the client in the 12 months prior to the event giving rise to the claim. Nexus is not liable for:
- Decisions made by the client or its staff based on content delivered through the channel.
- Outages of third-party operators (Meta, cloud infrastructure, telecom carriers).
- Loss of profits, indirect damages, loss of opportunity or chance.
11Privacy and personal data
Personal data processing is governed by the Nexus Privacy Policy, which is an integral part of these Terms.
12Suspension and termination
Nexus may suspend access of any user in case of breach of these Terms, breach of Meta policy, or risk to channel integrity. Termination by the client follows the commercial agreement. The user may end channel use at any time via opt-out (Section 05).
13Changes to these Terms
Material updates will be published at this same URL, with a new effective date at the top. For material changes, we proactively notify the client and opt-in users over the usual channel before the change takes effect.
14Governing law and forum
These Terms are governed by Brazilian law. The forum of the district of São Paulo/SP is elected, with waiver of any other, however privileged, to settle disputes arising from these Terms, except where exclusive jurisdiction provided by law applies (notably consumer-protection forum, where relevant).
